ARATTAI - TERMS OF SERVICE

THIS IS A BINDING AGREEMENT BETWEEN YOU (HEREINAFTER "YOU" OR "YOUR") AND ARATTAI TECHNOLOGY SOLUTIONS PRIVATE LIMITED (HEREINAFTER "WE", "US", "OUR" OR "ARATTAI" ), SETTING FORTH THE FOLLOWING TERMS AND CONDITIONS ("GENERAL TERMS") GOVERNING YOUR USE OF ARATTAI DIGITAL COMMUNICATION AND ENGAGEMENT SERVICES ("SERVICES").
IN ADDITION TO THESE GENERAL TERMS, YOUR USE OF CERTAIN SERVICES MAY BE SUBJECT TO SUPPLEMENTAL TERMS ("SERVICE SPECIFIC TERMS"). THESE GENERAL TERMS AND THE SERVICE SPECIFIC TERMS TOGETHER CONSTITUTE AN "AGREEMENT". IN THE EVENT OF A CONFLICT BETWEEN THESE GENERAL TERMS AND THE SERVICE SPECIFIC TERMS, THE SERVICE SPECIFIC TERMS WILL PREVAIL.
Acceptance of the Agreement
You must be over 18 years of age to use the Services. If you do not agree to the General Terms, do not use any of our Services. If you agree to the General Terms but do not agree to any of the Service Specific Terms, do not use the corresponding Service(s). You acknowledge and understand that your use of the Services constitutes acceptance of the Agreement.
Registration Obligations
In order to register for the Services you must provide a current and valid mobile number, that you own and control. In case of any change in your mobile number, you can update it using our in-app "change number" feature. The mobile number to be associated with your Arattai account will be verified via a text-based One-Time Password (OTP) and hence you must have access to that mobile number at the time of registration or when updating your mobile number to complete the verification. While registering for the Services, you agree to: (i) provide true, accurate, current and complete information; and (ii) maintain and promptly update the information provided during the registration to keep it true, accurate, current, and complete.
License Grant
Subject to your compliance with the Agreement, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download, install, and use the client applications of Arattai such as the mobile applications, android TV application, and desktop application ("Arattai Applications") solely for the purpose of accessing and using our Services.
Restrictions on Use
You shall not: (i) transfer the Services or otherwise make them available to any third party; (ii) provide any service based on the Services without prior written permission; (iii) except as permitted under applicable law, attempt to disassemble, reverse engineer or decompile the Services; (iv) attempt to gain unauthorized access to the Services or its related systems or network; (v) use third party links to sites in any manner that is not compliant with their website terms and conditions; (vi) post links to third party sites or use their logo, company name, etc. without their prior written permission; (vii) use the Services in any manner that could damage, disable, overburden, impair or harm Arattai or any of its servers, network, computer systems or resources; (viii) modify, disassemble, decompile, prepare derivative works of, or otherwise attempt to gain access to the source code of the Services; (ix) use the Services to send or store material containing software viruses, worms or other harmful computer code, files, scripts or programs; (x) use the Services in any manner that interferes with or dirupts the integrity, security or performance of: the Services, its components or the data contained therein; (xi) host, display, upload, modify, publish, transmit, store, update or share any information that belongs to another person or entity and to which you do not have any right, including personal or confidential information of any person or entity with respect to which you do not have consent or permission from such person or entity; (xii) use the Services in violation of any applicable local, state, national or international law; (xiii) create user accounts within Arattai using unauthorized or automated means; (xiv) use Arattai to collect information about others through impermissible or unauthorized means; (xv) use the Services for any form of competitive or benchmarking purposes; (xvi) remove or obscure any proprietary or other notices contained in Arattai; (xvii) use the Services in any manner that threatens the unity, integrity, defence, security or sovereignty of India, friendly relations of India with other countries, or public order, or causes incitement to the commission of any cognisable offence or prevents investigation of any offence or is insulting other countries; (xviii) create a false identity to mislead any person as to the identity or origin of any communication; or (xix) use the Services for transmitting information that is patently false and untrue, and is written or published in any form, with the intent to mislead or harass a person, entity or agency for financial gain or to cause any injury to any person.
Beta Service
We may offer certain Services or features within a Service as closed or as open beta ("Beta Service(s)") for the purpose of testing and evaluation. We are not responsible for any damage resulting from your use of the Beta Service, including without limitation, loss of data. We reserve the right to fully or partially change, discontinue, or suspend the Beta Services at any time, with or without notice to you. You agree that we will not be liable to you or to any third party for any harm related to, arising out of, or caused by the modification, suspension or discontinuance of any of the Beta Services for any reason. Furthermore, you acknowledge that any Beta Service currently offered free of cost is for evaluation purposes only and may later become a paid feature or part of a subscription tier. We may make specific Beta Services subject to supplemental terms during the beta phase or during general release, and the availability of any feature/service in a beta phase does not guarantee its eventual availability in a final, general release.
Feedback and Testimonials
While using the Services, you may provide us with feedback, suggestions, or ideas regarding the Services ("Feedback"). You hereby grant us an irrevocable, perpetual, worldwide, and royalty-free license to use, reproduce, modify, and incorporate such Feedback into the Services for any purpose (commercial or otherwise) without acknowledgement, attribution or compensation to you. You acknowledge that Feedback is non-confidential and that we are not obligated to implement any suggestions provided by you.
You may also share reviews, success stories, or endorsements ("Testimonials") with us. By doing so, you hereby grant us the right to use your Testimonial for marketing, advertising, and promotional purposes across any media or platform without compensation or royalties. This grant includes permission to use your name, social media handle, profile picture, and any other identifying information provided in connection with the Testimonial. We reserve the right to edit, condense, or reformat Testimonials for clarity or stylistic consistency, provided the original intent is not materially altered.
For both Feedback and Testimonials, you represent that: (i) you own or have the necessary rights to the content; (ii) the content does not infringe upon the intellectual property or privacy rights of any third party; and (iii) the content is truthful and reflects your honest experience.
Updates
We may, from time to time, provide updates, upgrades, patches, bug fixes, or other modifications to the Services ("Updates"). These Updates may modify or remove certain existing features or capabilities within the Services. You must promptly install such Updates for optimal performance and security of the Services.
User Content and Conduct
You are solely responsible for all text, images, audio, video, links or other materials ("User Content") that you upload, post, share, transmit, or otherwise make available through the Services, and for the consequences of sharing or transmitting such User Content. Your use of the Services is governed by this Agreement and Arattai User Content and Conduct Policy ("User Content and Conduct Policy"). If you become aware of any user, group, or channel indulging in any activity that is in violation of this Agreement or the User Content and Conduct Policy, you may (and are encouraged to) block the user, group, or channel using the in-app "Block" feature and report the violation. To report complaints of infringement of third-party intellectual property rights, click here. You acknowledge and agree that any User Content that you post as part of a public channel will be publicly accessible on the internet and may be crawled and indexed by search engines. You are responsible for verifying recipients, channel or group settings, and any audience or visibility limitations before sharing the User Content, and for ensuring that you do not accidentally make any private content publicly available.
Abuse Reporting and End-to-End Encryption
Arattai offers End-to-End Encryption ("E2EE") for certain chats. In the end-to-end encrypted chats, Arattai does not have access to the content of your message in the ordinary course. However, if you report a message, the reported message and a limited number of preceding messages between you and the reported user will be automatically shared with Arattai in unencrypted form to provide the context, and if you report a user, a limited portion of the most recent messages exchanged between you and that user will also be automatically shared with Arattai in unencrypted form. Similarly, if another user reports you or a message you sent, the reported message and a limited number of related messages between you and that user will be shared with Arattai in unencrypted form. You are responsible for deciding whether to submit a report, knowing that reporting may share limited end-to-end encrypted message content (including the messages that you have shared with the other user) with Arattai for review and enforcement.
Arattai uses a combination of automated tools, human review, and user reports to identify and act on potential violations of this Agreement and the User Content and Conduct Policy. In particular, automated tools and human review may be applied to (i) unencrypted content received through the abuse-reporting process (including the limited message content described above for end-to-end encrypted reports), (ii) unencrypted content that is public, such as content posted in public channels, and (iii) metadata and integrity or safety signals. When making enforcement decisions, we may consider information such as basic account information; group or channel information including the group name, description, member lists and admin information; message and call logs; reports from users including the specific content a reporting user chooses to share; and signals about abusive behavior such as spam patterns, attempts to compromise accounts, use of unofficial clients, or other integrity threats.
Disclosure in Compliance with Legal Obligations
For all features where E2EE is enabled, Arattai cannot read, hear, or access the content of your messages or calls, as the cryptographic keys exist only on the devices of the sender and recipient. However, Arattai holds certain information that is not end-to-end encrypted, such as (i) user account information; (ii) group and channel information; (iii) message and call logs; and (iv) messages that get shared in an encrypted form as part of abuse-reporting process. In the event that we receive government requests or court orders to provide specific information, we will share the information available with us to the authorities after verifying that the request complies with applicable law.
Furthermore, Arattai may be required to enable the identification of the first originator of specific messages on the Services. This process involves identifying the source of a message chain (such as the originating account ID) and does not mean Arattai can read the private, encrypted content of your messages.
Third-party Services
Arattai Services may allow you to access, use, or interact with third-party applications, websites, content, and other products and services ("Third Party Service(s)"). Access and use of such Third Party Services are subject to your acceptance of terms and privacy policies of such Third Party Services ("Third Party Terms").You are responsible for reading and understanding the Third Party Terms before accessing or using any Third Party Services. You acknowledge and agree that we are not liable for any Third Party Services. While we will try to provide you with advance notice, whenever reasonably possible, you acknowledge and agree that we may, at any time and in our sole discretion, and without any notice to you, suspend, restrict, disable access to or remove from the Services, any Third Party Services, without any liability to you, including without limitation for any loss of profits, revenue, data, goodwill or other intangible losses.
Communication Limits and Emergency Services
Arattai is a closed-network communication platform that allows you to interact, exclusively with other registered users who possess an active Arattai account. Critical emergency answering points, including hospitals, fire departments, law enforcement agencies, and other public safety services—are not onboarded as Arattai accounts and therefore cannot be accessed through the Services. You acknowledge and understand that Arattai is not a replacement for your primary telephone service; in the event of an emergency, you are responsible for contacting appropriate emergency services through alternative means of communication.
Grievance Redressal
In case of any grievance, the term as defined under Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, our Grievance Officer, Maheshwaran Harikrishnan, can be contacted by sending an email to grievance_officer@arattai.in.
Account Closure and Inactivity
To maintain security, protect user privacy, and manage our resources effectively, your Arattai user account may be closed and marked for clean-up (which includes the deletion of your account data stored on our servers) under the following circumstances:
- 180 Days of Inactivity: If your account remains inactive for one hundred and eighty (180) consecutive days (meaning your Arattai Application does not connect to or make any calls to our servers during this period) your account will be automatically closed and marked for clean-up.
- Voluntary Account Deletion: You may choose to close your account at any time using the in-app account deletion feature. To prevent unauthorized closures, a verification code (OTP) will be sent to your registered number. Upon validation, your account will be permanently closed and marked for clean-up. You will not be able to recover the account once this process has been completed.
Hosting Location
We store and maintain the data associated with your user account at our cloud facilities in India.
Data Ownership
You represent and warrant that you have all rights necessary to share User Content through the Services. Unless specifically permitted by you, your use of the Services does not grant us the license to use, reproduce, adapt, modify, publish or distribute the User Content shared by you or stored in your user account for our commercial, marketing or any similar purpose. However, you hereby grant us the permission to access, copy, distribute, store, transmit, reformat, publicly display and publicly perform the User Content of your user account solely as required for the purpose of providing the Services to you.
Personal Information and Privacy
Personal information you provide to us through the Services is governed by Arattai Privacy Policy. Your election to use the Services indicates your acceptance of the Arattai Privacy Policy. You are responsible for keeping your device and your account safe and secure. You are responsible for all activities that occur in your user account and you agree to inform us immediately of any unauthorized use of your user account by email to security@arattai.in. We are not responsible for any loss or damage to you or to any third party incurred as a result of any unauthorized access and/or use of your user account.
Trademark
"Arattai", its logo, the names of individual Services and their logos, are trademarks of Arattai Technology Solutions Private Limited. You agree not to display or use, in any manner, Arattai's trademarks, without Arattai’s prior permission.
Indemnification and Release
You agree to indemnify and hold us , our affiliates, directors, officers, employees, partners and agents, harmless from and against any losses, damages, fines and expenses (including attorney's fees and costs) arising out of or relating to any claims that you have used the Service in violation of another party's rights, in violation of any law, in violation of any provisions of this Agreement or Content and Conduct Policy, as well as any other claim related to your use of the Services including information provided in connection therewith.
YOU RELEASE US, OUR AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, PARTNERS, AND AGENTS FROM ANY CLAIM, COMPLAINT, CAUSE OF ACTION, CONTROVERSY, OR DISPUTE, KNOWN AND UNKNOWN, RELATING TO, ARISING OUT OF, OR IN ANY WAY CONNECTED TO A CLAIM YOU HAVE AGAINST ANY THIRD PARTIES.
Limitation of Liability
YOU AGREE THAT WE SHALL, IN NO EVENT, BE LIABLE FOR ANY CONSEQUENTIAL, INCIDENTAL, INDIRECT, SPECIAL, PUNITIVE, OR OTHER LOSS OR DAMAGE WHATSOEVER FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, COMPUTER FAILURE, LOSS OF DATA, LOSS OF BUSINESS INFORMATION, OR OTHER LOSS ARISING OUT OF OR CAUSED BY YOUR USE OF OR INABILITY TO USE THE SERVICES. IN NO EVENT SHALL OUR ENTIRE LIABILITY TO YOU IN RESPECT OF THE SERVICES, WHETHER DIRECT OR INDIRECT, EXCEED FIVE THOUSAND RUPEES (RS.5,000).THE FOREGOING LIMITATION OF LIABILITY, INCLUDING THE LIABILITY CAP WILL APPLY ONLY TO THE EXTENT PERMITTED BY APPLICABLE LAW.
Disclaimer of Warranties
YOU EXPRESSLY UNDERSTAND AND AGREE THAT YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK. THE SERVICES ARE PROVIDED ON AN AS-IS-AND-AS-AVAILABLE BASIS. WE EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT AND FREEDOM FROM VIRUS OR OTHER HARMFUL CODE. WE MAKE NO WARRANTY THAT SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR FREE. USE OF ANY MATERIAL DOWNLOADED OR OBTAINED THROUGH THE USE OF THE SERVICES SHALL BE AT YOUR OWN DISCRETION AND RISK AND YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR MOBILE PHONE, WIRELESS DEVICE OR DATA THAT RESULTS FROM THE USE OF SERVICES OR THE DOWNLOAD OF ANY SUCH MATERIAL. NO ADVICE OR INFORMATION, WHETHER WRITTEN OR ORAL, OBTAINED BY YOU FROM US, OUR EMPLOYEES OR REPRESENTATIVES SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THE AGREEMENT. THE FOREGOING DISCLAIMER OF WARRANTIES WILL APPLY ONLY TO THE EXTENT PERMITTED BY APPLICABLE LAW.
Suspension & Termination
We may suspend your user account or temporarily disable access to whole or part of the Service(s) in the event of a) breaches or violations of this Agreement or Arattai Content and Conduct Policy, b) requests by law enforcement or government agencies, c) discontinuance or material modification to the Services (or any part thereof), or d) suspicion of illegal activity. Objections to suspension or disabling of user account should be made to legal@arattai.in within thirty days of being notified about the suspension or disabling of user account. We may terminate a suspended or disabled user account after thirty days. Termination of user account will include denial of access to Services, deletion of information in your user account such as phone number and your profile information and deletion of all data in your user account.
Governing law and Jurisdiction
Any controversy or claim arising out of or relating to the Agreement shall be settled and adjudicated exclusively by the courts of Chennai in accordance with the laws of India without regard to conflict of law principles.
Modification of Agreement
We may modify this Agreement upon notice to you at any time through an in-app notification. Modifications to the Agreement are effective upon publication on our website. Your continued use of Services after the effective date of any change to the Agreement will be deemed to be your agreement to the modified Agreement.
